Description based on the Specified Commercial Transactions Act

This Agreement is concluded between soiro living LLC (hereinafter referred to as "Party A") and your company (hereinafter referred to as "Party B") as follows:

Article 1 (Purpose)
Party A will wholesale to Party B the remade lighting products it manufactures and sells, such as Highlight - a light made from a ceramic ashtray (hereinafter referred to as "this product"), and Party B will purchase these products.

Article 2 (Terms of Trade)
1. Specific conditions such as the product item, quantity, delivery time, unit price, etc. will be determined by Party B's order.
2. The wholesale price will be based on the coupon code issued to Party B, and Party A will notify Party B in advance of any changes.

Article 3 (Delivery)
1. The delivery location of this product will be the location designated by Party B, and Party B will be responsible for the shipping costs. However, depending on the purchase price, Party A may bear the costs.
2. Party B will confirm receipt (visual inspection and lighting operation) within five days of the delivery date, and will promptly notify Party A if there is any damage or defect.
3. In the event of damage or defects, Party A will re-deliver a replacement to Party B. Party A will cover the shipping costs. However, since many of these products are one-of-a-kind, the price of the replacement will be limited to the payment price and will be decided upon consultation between Party A and Party B.

Article 4 (Payment Terms)
Payment must be made through our official online store.

Article 5 (Transfer of Ownership)
Ownership of the Product shall be transferred from Party A to Party B upon Party B's payment of the full price.

Article 6 (Intellectual Property Rights)
All designs, trademarks, brand names and other intellectual property rights related to this product belong to Party A. Party B may not use, copy, modify or register these without Party A's prior consent.

Article 7 (Resale and Display)
1. When retailing the Product, Party B shall accurately display Party A's brand name and product name.
2. Party B will refrain from excessive discounts or sales or sales-related promotions/advertising that damage the brand image.

Article 8 (Contract Period)
This agreement is valid for one year from the date of the last purchase and will be automatically renewed with each purchase. If there is no purchase for more than one year, it will automatically expire and you will need to go through the registration process again.

Article 9 (Termination of Contract)
If any of the following events occur, the other party may immediately terminate this Agreement in writing.
1. When legal proceedings such as suspension of payments, bankruptcy, or civil rehabilitation are initiated.
2. When there is a material breach of the terms of the contract.
3. Any other case in which the relationship of trust with the other party has been significantly damaged.

Article 10 (Confidentiality)
Party A and Party B shall not disclose to any third party any business or technical secrets of the other party that they learn in connection with the performance of this Agreement.

Article 11 (Agenda matters)
If any doubt arises regarding matters not stipulated in this Agreement or the interpretation of any provision, Party A and Party B shall negotiate in good faith and attempt to resolve the matter.

By purchasing this product, you are deemed to have fully understood and accepted the above terms and conditions.
This Agreement may be amended from time to time without prior notice in order to provide better services.
